The Corporate Laws (Amendment) Bill, 2026 is best read as a compliance simplification bill rather than a sweeping overhaul. Introduced in the Lok Sabha on March 23, 2026, it seeks to amend both the Companies Act, 2013 and the LLP Act, 2008, with the stated goal of easing doing business while tightening institutional oversight where needed.

The most important development is decriminalisation of several routine filing and compliance defaults. Instead of imprisonment or criminal fines for many procedural lapses, the Bill shifts to civil penalties, which reflects a move away from criminalising technical non-compliance and toward a more proportionate enforcement model.

The Bill also makes important changes to corporate governance and scale thresholds. It raises the definition of a small company, expands flexibility for annual general meetings by permitting physical or video-conference modes, and introduces simpler methods for service of documents and affidavits. It also reworks merger and amalgamation approvals, lowering the voting threshold for certain schemes, which should make internal restructurings faster and less cumbersome.  

On the substantive side, the Bill updates CSR applicability, broadens the recognition of employee compensation structures beyond ESOPs, and strengthens the role of the National Financial Reporting Authority. It also places the Insolvency and Bankruptcy Board of India in a clearer valuation-related role, while allowing conversion of specified trusts into LLPs in limited cases linked to regulated activities.

Taken together, the Bill signals a policy shift: fewer criminal consequences for routine corporate defaults, easier restructuring for genuine businesses, and stronger supervision at the points where valuation, audit quality, and disclosure matter most
